i use 2.4 for modeling, save as .mqo, then when im done, i load it up in 2.1 and save as .x.
but if you are using loaded textures(.bmp files) in 2.4, then you have to to reload them into the texture when you open it in 2.1, and they appear in place where you mapped them, save as .x
